1. Agreement to Terms
By accessing or using TaxCounsel (“the Service”), operated by Befree Ltd (“we”, “us”, “our”), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use the Service.
2. Description of Service
TaxCounsel is an AI-powered platform that generates tax advisory memoranda for UK tax professionals. The Service uses Anthropic's Claude AI to produce structured tax advice based on information you provide, helping you work more efficiently.
3. How the Service Works
3.1 AI-Assisted Output
TaxCounsel uses artificial intelligence to draft memoranda. While the AI is trained on UK tax law and current rates, all output is designed as a starting point for your professional review. AI-generated content may occasionally contain inaccuracies in calculations, legislation references, or recommendations. We recommend verifying all output before finalising any advice or submitting to HMRC.
3.2 Professional Review
As a qualified tax professional, you bring the expertise and judgment that ensures every memorandum meets the standards your clients expect. TaxCounsel is here to support your workflow, and we encourage you to apply your own professional review to every output.
3.3 Data Storage
Your client data, memoranda, and settings are stored locally in your browser for your privacy and control. This data may be lost if you clear your browser data, switch devices, or use private browsing. We recommend using the Export Data feature in Settings to keep regular backups. Befree Ltd is not responsible for locally stored data.
3.4 Third-Party Processing
When generating memoranda, the details you enter (including client names, references, and financial information) are securely sent to Anthropic (a US-based company) for AI processing. You are responsible for informing your clients that their data may be processed by third-party AI services outside the UK.
3.5 Professional Standards
We understand you may be regulated by professional bodies such as ICAEW, ACCA, CIOT, or ATT. We encourage you to ensure your use of TaxCounsel aligns with your professional body's guidance on the use of AI tools.
4. Free Tier and Pricing
- New users receive 20 free memoranda to explore the platform
- Continued use beyond the free tier requires a paid subscription
- We may update pricing, features, or the free tier offering from time to time
5. Your Responsibilities
- Use the Service as a qualified tax professional or under appropriate supervision
- Provide accurate and complete information when generating memoranda
- Review and verify all AI-generated output before use
- Keep your account credentials secure
- Use the Service in compliance with all applicable UK laws and professional regulations
6. Intellectual Property
- The TaxCounsel platform, branding, and AI system prompts are owned by Befree Ltd
- Memoranda generated by the Service are yours to use for your professional purposes
- We ask that you review and adapt AI-generated content with your own professional judgment before presenting it as finalised advice
7. Limitation of Liability
TaxCounsel is provided as a professional support tool. To the maximum extent permitted by law:
- The Service is provided “as is” and “as available”
- We do not warrant that AI-generated output will be error-free or suitable for any specific purpose
- Befree Ltd is not liable for any losses or damages arising from use of AI-generated memoranda
- Our total liability shall not exceed the amount you have paid for the Service in the 12 months preceding the claim
8. Indemnification
You agree to indemnify and hold harmless Befree Ltd and its team from any claims, damages, or expenses arising from your use of the Service or your professional use of any memoranda generated by the Service.
9. Service Availability
- We aim to keep TaxCounsel available at all times, though occasional downtime may occur for maintenance
- The Service depends on trusted partners (Clerk, Anthropic, Resend) and may be affected by their availability
- We may update or modify the Service from time to time to improve your experience
10. Termination
We may suspend or close accounts that breach these Terms. Upon termination, your right to use the Service ceases. Data stored locally in your browser will remain on your device unless you choose to delete it.
11. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to Terms
We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance. We will notify users of material changes through the application.
